Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") form an agreement between you and EzContentPoster ("EzContentPoster," "we," "us," or "our"). By accessing or using the EzContentPoster website or application (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and authority

You must be at least 18 years old and legally able to enter into these Terms. If you use the Service for a business or another person, you represent that you have authority to accept these Terms and to connect, manage, and publish to the relevant social accounts on their behalf.

3. Accounts and security

You are responsible for providing accurate account information, protecting access to your email and connected accounts, and promptly notifying us of suspected unauthorized use. You are responsible for activity performed through your account unless caused by our breach of these Terms.

4. The Service

The Service may help you upload and organize media, generate draft captions, select approval preferences, schedule posts, import authorized social-post history, and publish content to supported Facebook Pages and Instagram professional accounts. Features may change as the Service develops.

Scheduling and publishing depend on third-party systems, network availability, valid permissions, and compliant media. We do not guarantee that a post will publish at an exact time or without interruption. You should review the queue and publishing results, especially for time-sensitive content.

5. Your content and permissions

You retain ownership of images, text, trademarks, and other content you provide ("Your Content"). You grant EzContentPoster a limited, non-exclusive, worldwide license to host, copy, format, process, transmit, and publish Your Content only as needed to operate, secure, support, and improve the Service and carry out your instructions. This license ends when Your Content is deleted from our active systems, except where continued retention is legally permitted or required.

You represent that you have all rights, permissions, releases, and consents needed to use and publish Your Content, including any necessary rights relating to identifiable people, client work, music, trademarks, or copyrighted material appearing in it.

6. AI-generated material

AI-generated captions, hashtags, suggestions, and analyses may be inaccurate, unsuitable, similar to material produced for others, or inconsistent with platform rules. You are responsible for reviewing generated material before use and for deciding whether it is accurate, lawful, appropriate, and consistent with your brand. EzContentPoster does not guarantee ownership, originality, or legal availability of generated material.

7. Connected services

The Service works with third-party services, including Meta, Instagram, Facebook, OpenAI, Supabase, and Vercel. Your use of those services remains governed by their own terms and policies. You authorize us to send and receive information from connected services as necessary to perform your instructions. We are not responsible for third-party outages, account restrictions, policy changes, content removal, or other actions outside our control.

You must comply with all applicable Meta, Facebook, and Instagram terms and policies. Connecting an account does not imply endorsement, sponsorship, or partnership by Meta or any other provider.

8. Acceptable use

You may not use the Service to:

• violate any law, regulation, platform rule, or third-party right;
• publish deceptive, defamatory, harassing, hateful, or unlawful content;
• send spam or conduct unauthorized advertising or impersonation;
• upload malicious code or interfere with, probe, overload, or bypass the security of the Service;
• access another user's data or accounts without authorization;
• scrape, resell, sublicense, or misuse data received from Meta or the Service; or
• use the Service to develop a competing dataset or service unlawfully.

9. Suspension and termination

You may stop using the Service at any time and may request account deletion. We may limit, suspend, or terminate access if reasonably necessary to protect the Service or others, comply with law or third-party requirements, address security risks, or respond to a material or repeated violation of these Terms. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, and dispute terms.

10. Intellectual property

Except for Your Content, the Service and its software, design, branding, and documentation are owned by EzContentPoster or its licensors and are protected by applicable intellectual-property laws. These Terms do not grant you any right to use our names, logos, or trademarks except as necessary to identify the Service.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." EzContentPoster disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty that cannot legally be excluded.

12. Limitation of liability

To the maximum extent permitted by law, EzContentPoster will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, or content, arising from or related to the Service, even if advised that such damages were possible.

To the maximum extent permitted by law, EzContentPoster's total liability for all claims arising from or related to the Service will not exceed the greater of the amount you paid EzContentPoster for the Service in the 12 months before the event giving rise to the claim or 100 U.S. dollars. These limits do not apply where prohibited by law.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless EzContentPoster from claims, damages, losses, liabilities, and reasonable costs arising from Your Content, your connected accounts, your violation of these Terms, or your violation of another person's rights or applicable law.

14. Governing law

These Terms and disputes relating to them are governed by applicable laws of the United States. Where state law applies, the law of the U.S. state in which EzContentPoster is principally operated applies, without regard to conflict-of-law rules. Mandatory protections available under applicable law are not waived.

15. Changes to these Terms

We may update these Terms as the Service or legal requirements change. We will post the revised Terms and update the effective date. If a change is material, we will provide additional notice when reasonably practical. Your continued use after updated Terms take effect constitutes acceptance of the updated Terms.

16. General terms

These Terms and the Privacy Policy are the entire agreement between you and EzContentPoster concerning the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets.
